Work with and advise investment team and portfolio company leadership on platform deals and add-on investments to portfolio companies (both sell and buy sides) coordinating with outside counsel on all aspects of transactions including diligence efforts, negotiation and drafting of deal documents, and closing of transaction.
Negotiation of terms and drafting documentation related to partnership agreements and stockholders’ agreements and other management arrangements with portfolio companies’ executive leadership; offering memorandum for equity plans; profit interest and option plans and documentation; co-investment documentation, as needed.
Advise and assist members of the Firm’s investment team on: capital markets transactions; take-private transactions; IPOs and other offerings of portfolio companies; sales and purchases of securities for portfolio companies that are public filers. Preparation of portfolio companies for sale. Manage outside counsel in connection with select investment activity (i.e., platform investments, portfolio companies, bids, sale processes, etc.)
Work with other legal team members in all facets of our practice, including in the negotiation of confidentiality agreements, employment matters, corporate housekeeping, and other matters, as needed. Special projects from time to time subject to availability and Firm needs (e.g., strategic transactions, securities law filings, marketing, etc.). Work with Compliance department to ensure legal compliance and to manage, detect and mitigate risk.
